CONSTITUTION OF
THE 19TH HOLE CLUB
OF THE WOBURN COUNTRY CLUB

ARTICLE I
Name
The name of this organization shall be the 19th Hole Club.
ARTICLE II
Purpose
The 19th Hole Club shall be a nonprofit association the purpose of
which shall be to provide an agency through which golfers or all levels
of ability will be able to enjoy the competition and good fellowship
afforded by the game of golf.
ARTICLE III
Members
The members of this organization shall be golfers eighteen years of age
or over. The golf professional and greens superintendent of the Woburn
Country Club shall be honorary members.
ARTICLE IV
Officers
Section 1. The officers of the 19th Hole Club shall be a President, a
Vice President, a Treasurer and a Secretary. The officers shall
be elected at a meeting of the general membership to be held in
November. The terms of office for the officers so elected shall
be for two years, from the following January first through
December thirty-first.
Section 2. The President shall be the chief executive officer of the
19th Hole Club. He shall call meetings of the Executive Committee and
of the general membership; shall appoint the chairmen of the standing
committees and such other members of standing or special committees as
he deems necessary or appropriate; shall approve expenditures other
than those voted by the Executive Committee; and shall direct the
activities of the Club.
Section 3. The Vice President shall assist the President and shall
serve as acting President when the President is unable to perform his
duties.
Section 4. The Treasurer shall keep a full account of all money
received and expended, and shall disburse funds as directed by the
President or the Executive Committee.
Section 5. The Secretary shall keep records of all meetings of the
Executive Committee and the general membership, conduct correspondence
and maintain a roll of the general membership.
ARTICLE V
Standing Committees
Section 1. There shall be four standing committees of the 19th Hole
Club: Tournament, Rules, Handicap and Web Site. The golf professional
shall be a member ex officio of each standing committee; he may
designate the assistant professional to represent him at any committee
meeting.
Section 2. The Tournament Chairman shall be responsible to the
President for planning and conducting all competitions, including team
and league events. He shall prepare a schedule of events for the season
and present it to the Executive Committee for approval. He shall
arrange for supervision of all competitions.
Section 3. The Rules Chairman shall be responsible to the President for
advice on the Rules of Golf, shall cooperate with the Tournament
Chairman in marking the course, and shall submit for approval of the
Executive Committee such Local Rules as may be necessary.
Section 4. The Handicap Chairman shall be responsible to the President
for all aspects of handicapping, including the computation of handicaps
for all members. His assignment of a handicap to a player shall be
final unless reversed by the Executive Committee.
Section 5. The Web Site Chairman shall be responsible to the President
for managing the 19th Hole Club web site.
ARTICLE VI
Executive Committee
Section 1. The Executive Committee shall consist of the four elected
officers, the immediate Past President, and the chairmen of the four
standing committees. Five members of the Executive Committee shall
constitute a quorum, except that when any action is taken which
requires a two-thirds vote, six members shall be a quorum. In the event
of a vacancy on the Executive Committee, the President shall appoint a
replacement.
Section 2. The Executive Committee shall have the powers and
responsibilities set forth in this Constitution and shall function
as the golf committee as provided in the Rules of Golf. The
Executive Committee may by a two-thirds vote adopt, amend or repeal
by-laws for the 19th
Hole Club governing annual membership dues, membership requirements and
tournament eligibility. The Executive Committee may by a
two-thirds vote expel a member from the 19th Hole Club for good cause,
provided such member has been provided notice of the charges against
him and
an opportunity to respond.
ARTICLE VII
Meetings
Section 1. The President shall call at least one meeting of the general
membership each year.
Section 2. The President shall call at least three meetings of the
Executive Committee each year, a quorum being present.
Section 3. The President shall call at least one meeting every two
years for election of officers. Notification to each member shall be
given at least one month in advance for such meeting as well as
nominations for each office.
ARTICLE VIII
Amending the Constitution
This Constitution may be amended by a two-thirds vote of the general
membership present and voting at any general meeting, provided that
notice to the general membership of the proposed amendment has been
posted or mailed at least one week prior to the meeting.
